Quotes are for five (5) days from the date issued, after which pricing and availability are subject to change. Pricing is based on material costs, tariffs, and other applicable costs known as of the date of this proposal.

PAYMENT TERMS: Progressive billing will be used on most bid projects. An initial payment of up to ten percent (10%), as allowed by law, of the total Contract price is due upon acceptance/signing of the Contract.

An additional project-development payment, in the amount specified in the proposal or invoice, will be due for project administration, scheduling, engineering, permitting, and procurement and shall be invoiced prior to commencement of those activities.

Remaining material and procurement costs will be billed prior to or at procurement. Labor and installation costs will be due at the time the applicable labor is performed. A five percent (5%) retainage balance will be due upon final inspection or substantial completion, as applicable.

Payments attributable to administration, scheduling, engineering, permitting, procurement, materials, and other services already performed or costs incurred are considered earned as those services are performed or costs incurred and are subject to the cancellation provisions of this Contract and applicable law.

LATE PAYMENT, SUSPENSION & COLLECTION: Customer shall pay each invoice in accordance with the payment terms stated in the Contract, proposal, invoice, or applicable payment schedule. Amounts not timely paid are delinquent.

To the extent permitted by applicable law, delinquent amounts may accrue interest, service charges, or late charges at the rate stated on the applicable proposal or invoice or, if no rate is stated, at the maximum lawful rate applicable to the transaction.

If Customer fails to make a payment when due, FM Electric may, after providing any notice required by applicable law, suspend or postpone scheduling, engineering, permitting, procurement, delivery, installation, inspection coordination, utility coordination, warranty work unrelated to an immediate safety condition, or other performance until the account is brought current or satisfactory payment arrangements are made.

A suspension for nonpayment does not constitute abandonment or breach by FM Electric. Customer shall be responsible, to the extent permitted by law, for reasonable costs resulting from the suspension or subsequent resumption of Work, including administrative time, project-management time, storage, delivery, supplier charges, mobilization, remobilization, rescheduling, and escalation in material or other project costs.

Customer shall also be responsible for reasonable collection costs, court costs, attorney's fees, and other legally recoverable expenses incurred by FM Electric in collecting amounts properly due, to the extent permitted by applicable law.

PRICE CHANGES & SUBSTITUTIONS: If, during performance of the Contract, material prices, tariffs, freight charges, governmental charges, or other project costs materially increase through no fault of FM Electric, FM Electric reserves the right, to the extent permitted by law, to reasonably adjust the Contract price to recover such increases. Specific components or materials may be substituted with comparable components due to availability, supply-chain restrictions, code requirements, utility requirements, or other circumstances, provided the substitution does not materially reduce the intended function of the installation.

PERMITS, AHJ & UTILITY FEES: Where a permit is required for FM Electric's contracted work, FM Electric will apply for and obtain the required electrical permit unless applicable law or the Authority Having Jurisdiction requires or expressly permits otherwise and the Contract specifically provides for a different arrangement.

FM Electric's responsibility to apply for and obtain a permit does not mean that the permit fee is included in the Contract price. Unless expressly stated otherwise in the proposal, permit fees, plan-review fees, inspection fees, utility-company fees, utility engineering charges, interconnection fees, service-upgrade charges, meter charges, disconnect/reconnect charges, utility construction charges, and other governmental, AHJ, utility, engineering, or third-party charges are additional project costs and are the Customer's responsibility.

FM Electric's standard administrative labor for ordinary permit processing, inspection scheduling, and ordinary utility coordination associated with the contracted work is included unless otherwise stated in the proposal. Additional or extraordinary engineering, design, utility coordination, plan revisions, resubmittals, inspections, or administrative work resulting from project changes, Customer requests, concealed conditions, AHJ or utility requirements, or circumstances outside FM Electric's reasonable control may constitute additional work and may be billed in accordance with the Contract.

Where FM Electric pays or advances a permit fee or other governmental, AHJ, utility, engineering, or third-party charge on Customer's behalf, Customer shall reimburse FM Electric for that expense. FM Electric may invoice such charges before payment or require reimbursement after the charge is incurred.

Once FM Electric has submitted an application, performed permit or utility-related work, or incurred a third-party charge, the associated services and costs remain payable notwithstanding subsequent cancellation of the project. Any refund of a permit or other third-party fee is limited to the amount actually refunded or credited to FM Electric by the applicable third party, less reasonable costs incurred in obtaining or processing the refund.

Additional utility planning, engineering, design, transformer work, utility-side construction, easement work, service modification, or other extraordinary utility requirements are excluded unless specifically included in writing.

PANEL, SERVICE & ELECTRICAL EQUIPMENT REPLACEMENT: When the contracted scope includes replacement, upgrade, or modification of an electrical panel, meter-main, service equipment, disconnect, or similar electrical equipment, FM Electric's work is limited to the equipment and work specifically identified in the proposal.

Existing branch-circuit conductors may be reconnected to replacement equipment when they are of sufficient length, condition, type, and size to be legally and safely reused. Unless specifically included in the proposal, the Contract does not include relocation or extension of existing branch circuits; AFCI upgrades; branch-circuit testing, tracing, identification, labeling, troubleshooting, or repair; or correction of pre-existing electrical defects, code violations, damaged wiring, or deficiencies outside the contracted scope.

Unless expressly included, the Contract does not include repair or restoration of adjacent structures, landscaping, firewalls, drywall, paint, roofing, siding, concrete, equipment, or existing wiring; cutting, excavation, trenching, patching, painting, siding repair, finish work, or similar restoration. FM Electric will reasonably seal penetrations made by FM Electric where sealing is specifically included in the contracted scope.

FM Electric is not responsible for pre-existing defects or failures of existing electrical systems, branch circuits, appliances, equipment, or Customer-owned property that become apparent during or after the work unless directly caused by FM Electric's work.

Electrical service interruption may be required to perform the contracted work. Restoration of electrical service may depend upon inspection, AHJ approval, utility scheduling, meter installation, utility authorization, or other matters outside FM Electric's control. FM Electric does not guarantee same-day inspection, utility reconnect, meter installation, or restoration of electrical service and is not responsible for delays caused by the utility, AHJ, inspector, weather, access restrictions, or other circumstances outside FM Electric's reasonable control.

PROJECT DOCUMENTATION: Photography and video may be taken to document existing conditions, work progress, completed work, workmanship, equipment, inspections, and project conditions.

WARRANTY: This proposal includes a one (1) year warranty on FM Electric installation labor and the applicable manufacturer's warranty on equipment. Manufacturer warranties are subject to the manufacturer's terms, conditions, exclusions, and procedures.

CODE COMPLIANCE: New electrical work performed by FM Electric will be installed in a professional and workmanlike manner in accordance with the applicable electrical code and requirements of the Authority Having Jurisdiction (AHJ) at the time of installation.

INSPECTIONS & AHJ REQUIREMENTS: Inspections, approvals, permits, certificates, or acceptance by an Authority Having Jurisdiction (AHJ), utility, engineer, or other third party apply only to the matters reviewed by that party and shall not constitute a warranty, representation, or certification by FM Electric concerning existing electrical systems, equipment, wiring, structures, or other work outside FM Electric's contracted scope.

FM Electric is not responsible for identifying, testing, correcting, upgrading, or bringing into compliance pre-existing work or conditions outside the contracted scope merely because such conditions are discovered, identified, or required to be corrected during an inspection or as a condition of approval of the contracted Work.

If an AHJ, inspector, utility, engineer, or other authority requires modification, repair, replacement, testing, investigation, engineering, or correction of existing or non-contracted work as a condition of inspection, approval, energization, interconnection, or project completion, such work is outside the original Contract price unless expressly included in the proposal and will require a written change order or other written authorization in accordance with the Contract.

Requirements, interpretations, corrections, or additional work imposed by an AHJ, utility, inspector, engineer, or other authority that could not reasonably have been determined at the time of estimating may result in additional cost and reasonable extension of the project schedule. FM Electric is not responsible for delays resulting from such requirements to the extent permitted by applicable law.

Passing an inspection or receiving approval does not constitute an inspection, certification, or warranty by FM Electric of electrical systems, equipment, wiring, workmanship, code compliance, or conditions outside FM Electric's contracted scope.

GENERAL EXCLUSIONS: Unless expressly included in the proposal, the Contract excludes overtime, accelerated schedules, after-hours or shift work; governmental, permit, plan-review, inspection, utility, engineering, and other third-party fees; repair to adjacent structures, landscaping, firewalls, equipment, or existing wiring; removal or disposal of project trash or recycling; cutting, excavation, trenching, patching, painting, roofing, siding, waterproofing, sealing, finish work, or restoration; and any work not specifically identified within the stated scope.

CONCEALED, UNFORESEEN & HAZARDOUS CONDITIONS: Proposals and Contract pricing are based upon conditions reasonably visible, accessible, and known to FM Electric at the time of estimating. FM Electric is not responsible for concealed, latent, undocumented, or unforeseen site conditions that could not reasonably have been identified before commencement of the Work.

Such conditions may include, without limitation, underground obstructions; rock or unsuitable soil; buried utilities; concealed or undocumented electrical wiring; inaccessible junction boxes, raceways, equipment, or connection points; damaged, deteriorated, improperly installed, or abandoned wiring; insufficient conductor length; failed or defective existing equipment; concealed structural conditions or damage; water intrusion; inaccessible work areas; inaccurate plans, drawings, labels, records, or representations; or other existing conditions that materially affect the contracted Work.

If FM Electric encounters suspected asbestos-containing materials, lead-containing materials, mold, biological hazards, contaminated soil, hazardous chemicals, potentially hazardous dust or debris, or other known or suspected health or environmental hazards, FM Electric may immediately stop or suspend affected Work. FM Electric is not responsible for testing, identifying, disturbing, removing, transporting, remediating, or disposing of hazardous materials unless expressly included in the Contract and FM Electric is legally qualified and authorized to perform such work.

Customer is responsible for obtaining any required testing, environmental assessment, abatement, remediation, structural evaluation, excavation, utility locating, engineering, or other specialized services necessary to make the affected area safe and reasonably accessible for FM Electric's Work.

Additional electrical work, labor, materials, equipment, excavation, investigation, troubleshooting, engineering, project management, mobilization, remobilization, standby time, schedule changes, or other costs reasonably resulting from concealed or unforeseen conditions are outside the original Contract price and require a written change order or other written authorization in accordance with the Contract.

Discovery of a concealed, unforeseen, unsafe, or hazardous condition may reasonably extend the project schedule. FM Electric is not responsible for delays or resulting damages caused by such conditions or by testing, evaluation, remediation, engineering, utility work, AHJ requirements, or other corrective measures necessary before FM Electric can safely resume Work, to the extent permitted by applicable law.

CUSTOMER-CAUSED DELAYS, ACCESS & REMOBILIZATION: Customer is responsible for providing FM Electric with timely and reasonable access to the project site, electrical equipment, work areas, and other locations necessary to perform the contracted work. Customer is also responsible for ensuring that the project site is reasonably ready for FM Electric's scheduled work and that occupants, other contractors, subcontractors, trades, vehicles, stored materials, equipment, or other conditions under Customer's control do not prevent or materially interfere with FM Electric's performance.

If FM Electric's work is delayed, interrupted, prevented, rescheduled, or requires an additional trip or mobilization due to Customer, an occupant, Customer's contractor or subcontractor, another trade, lack of access, inaccessible equipment, incomplete prerequisite work, unsafe or unsuitable site conditions, scheduling changes, or other circumstances reasonably within Customer's control, the resulting additional costs are not included in the Contract price and will be charged to Customer.

Such charges may include standby or waiting time, additional labor, travel time, return trips, mobilization and remobilization, equipment or material handling, storage, delivery, rescheduling, and other reasonable costs resulting from the delay or schedule change.

Labor, standby, travel, project-management, and administrative time resulting from such delays or changes will be billed on an hourly basis at FM Electric's applicable current rate. This specifically includes administrative and project-management time reasonably required to schedule, reschedule, cancel, modify, coordinate, or otherwise change scheduled work, inspections, utility appointments, subcontractors, material deliveries, equipment, or other project arrangements.

FM Electric may suspend or reschedule work when the site is inaccessible, unsafe, not reasonably ready for the scheduled work, or when conditions outside FM Electric's control prevent efficient performance. Such suspension or rescheduling does not constitute a breach by FM Electric, and the project schedule may be reasonably extended to accommodate the delay and FM Electric's subsequent availability.

FM Electric is not responsible for project delays caused by Customer, occupants, other contractors or trades, utilities, AHJs, inspectors, manufacturers, suppliers, material shortages, weather, concealed conditions, access restrictions, or other circumstances outside FM Electric's reasonable control, to the extent permitted by applicable law.

CUSTOMER AUTHORITY & PROJECT INFORMATION: Customer represents that Customer is the owner of the property or is legally authorized by the property owner or other person having legal authority over the property to enter into the Contract, authorize the Work, grant FM Electric access to the property, and authorize reasonable activities necessary to perform the contracted Work.

Where Customer acts as a trustee, property manager, agent, tenant, representative of an entity, general contractor, or other authorized representative, Customer represents that Customer possesses sufficient authority to enter into the Contract and authorize the Work in that capacity.

Customer is responsible for providing FM Electric with materially accurate information reasonably necessary for estimating and performing the Work, including known property conditions, existing plans or records, utility information, equipment information, access restrictions, hazardous conditions, and other relevant project information.

FM Electric may reasonably rely upon information supplied by Customer, property owners, utilities, engineers, other contractors, manufacturers, and other project participants unless FM Electric knows such information to be materially incorrect.

CUSTOMER-SUPPLIED MATERIALS & EQUIPMENT: Unless expressly agreed otherwise in writing, FM Electric does not warrant materials, fixtures, appliances, equipment, components, batteries, generators, inverters, EV chargers, electrical equipment, or other products supplied by Customer or by a third party retained by Customer.

Customer is responsible for the suitability, completeness, compatibility, condition, specifications, manufacturer requirements, and availability of Customer-supplied equipment. FM Electric does not guarantee that Customer-supplied equipment will be compatible with the existing electrical system, utility requirements, applicable codes, listing requirements, manufacturer's instructions, or other project components.

Additional labor, troubleshooting, adapters, components, modifications, engineering, return trips, or other work resulting from incomplete, defective, damaged, incompatible, incorrectly specified, or missing Customer-supplied equipment is outside the original Contract price.

FM Electric may refuse to install or energize equipment that FM Electric reasonably believes is damaged, defective, counterfeit, recalled, unsafe, unsuitable for the intended application, incompatible with the electrical system, improperly listed or labeled where listing or labeling is required, or otherwise noncompliant with applicable requirements.

FM Electric's labor warranty does not extend to failures caused by Customer-supplied equipment, manufacturer defects, incompatibility, incorrect specifications supplied by others, or subsequent modification or failure of such equipment.

TROUBLESHOOTING, DIAGNOSTIC & INVESTIGATIVE WORK: Electrical troubleshooting and diagnostic work is inherently investigative and may require sequential testing, disassembly, tracing, monitoring, temporary isolation of circuits or equipment, consultation with manufacturers or utilities, and additional visits.

Payment for diagnostic or troubleshooting services compensates FM Electric for the professional time, equipment, testing, investigation, and services performed and does not guarantee that an intermittent, concealed, undocumented, inaccessible, manufacturer-related, utility-related, or other fault will be conclusively identified or corrected within any particular amount of time.

Unless a fixed diagnostic scope and price are expressly stated in writing, troubleshooting and investigative services will be billed at FM Electric's applicable current rates together with authorized materials, equipment, travel, and other applicable charges.

Discovery of the source of a problem does not include repair or replacement unless such corrective work is included in the contracted scope or subsequently authorized in writing.

MATERIALS, EQUIPMENT, STORAGE & PROCUREMENT: Materials and equipment procured for the project may be purchased, ordered, fabricated, allocated, reserved, delivered, or stored before installation. Customer remains responsible for materials and equipment procured specifically for the project in accordance with the Contract, including applicable freight, delivery, storage, return, cancellation, and restocking charges.

Special-order, custom, non-returnable, discontinued, allocated, opened, configured, programmed, assembled, modified, or otherwise project-specific materials may not be eligible for return or credit.

If installation or delivery is delayed for reasons outside FM Electric's reasonable control or due to Customer, Customer's contractors, other trades, site conditions, access restrictions, scheduling changes, nonpayment, or other Customer-responsible circumstances, FM Electric may reasonably store the materials or equipment and charge Customer for resulting handling, transportation, storage, insurance, administrative, and related costs.

Payment for materials or equipment does not require FM Electric to release, deliver, or transfer possession of such materials contrary to applicable law, supplier requirements, lien rights, security interests, or amounts remaining due under the Contract. Ownership, possession, risk of loss, and security interests shall be determined in accordance with the Contract and applicable law.

CHANGE ORDERS & MODIFICATIONS: Any additional work or change to the contracted scope requires a written change order identifying both the scope of the change and the applicable price or method of determining the price, accepted by the Customer before performance of the additional or changed work, except for emergency or safety-related work expressly authorized by the Customer.

No verbal statement, promise, representation, modification, waiver, addition, deletion, or change made by FM Electric, its contractor, owner, employee, subcontractor, salesperson, agent, or other representative shall modify or become part of the Contract unless confirmed in writing by an authorized representative of FM Electric.

Likewise, verbal requests or instructions from the Customer that would modify the scope, price, schedule, materials, equipment, or other terms of the Contract are not binding upon FM Electric unless documented and accepted in writing.

For purposes of this provision, written authorization may include an executed change order, signed proposal, electronic acceptance, email, text message, or other written electronic communication that reasonably identifies the authorized change and the parties' agreement to it.

CANCELLATION: Cancellation must be made in writing. Cancellation does not relieve Customer of responsibility for amounts already earned or costs incurred by FM Electric. Customer remains responsible for engineering, design, estimating, permitting, administrative and project-management services performed; materials ordered or procured; shipping and return costs; non-returnable or special-order materials; applicable restocking charges; scheduled or completed labor; and other reasonable project costs incurred before cancellation.

If Customer cancels the project after a permit application has been submitted or a permit has been obtained, or within seven (7) calendar days before a scheduled installation date, all payments previously made or due for materials, permitting, procurement, and project overhead shall be considered earned, due, and non-refundable, to the extent permitted by applicable law.

Where cancellation requires FM Electric to perform additional administrative or project-management services, including cancellation, withdrawal, or closure of permits, utility applications, inspections, material orders, scheduled labor, subcontractors, engineering, equipment reservations, or other project arrangements, Customer will be responsible for FM Electric's current project-management rate for the time reasonably required to unwind the project, to the extent permitted by applicable law.

Customer remains responsible for non-returnable and special-order materials and applicable shipping, return, cancellation, and restocking charges. Any refund or credit for returnable materials is subject to the supplier's acceptance of the return and applicable supplier charges.

Cancellation or postponement less than forty-eight (48) hours before scheduled work may additionally result in charges for reserved labor, scheduling, mobilization, demobilization, and other reasonable costs resulting from the cancellation or postponement.

Nothing in this provision limits any additional amount FM Electric is legally entitled to recover for work performed, materials furnished or procured, commitments made, or damages resulting from Customer's cancellation or breach of Contract. All cancellation charges and retained amounts are subject to applicable law.

PAYMENT METHOD: Eligible credit card transactions may be subject to a processing surcharge. The amount of any surcharge will be determined at the time of payment and disclosed to the Customer before the transaction is completed. Any surcharge will not exceed FM Electric's applicable cost of card acceptance or the maximum amount permitted by applicable law, card-network rules, and payment-processor requirements, whichever is less. No surcharge will be imposed on debit cards, prepaid cards, or other payment methods for which surcharging is prohibited.

ELECTRONIC COMMUNICATIONS, RECORDS & AUTHORIZATION: Customer agrees that FM Electric may conduct project communications and transmit proposals, contracts, change orders, invoices, receipts, schedules, notices, photographs, documents, approvals, and other project records electronically, including through email, text message, electronic signature, customer portal, Jobber or another electronic business or project-management system used by FM Electric.

To the extent permitted by applicable law, electronic signatures, electronic acceptance, and written electronic communications may constitute written authorization or acceptance where the communication reasonably identifies the parties, project, transaction, or authorization involved.

Customer is responsible for maintaining current contact information and for promptly notifying FM Electric of changes to Customer's email address, telephone number, billing contact, authorized representative, or other material contact information.

Nothing in this provision eliminates any signature, delivery, notice, formatting, disclosure, or other requirement that applicable law specifically requires to be satisfied in another manner.

DISPUTE RESOLUTION, RIGHT TO INSPECT & OPPORTUNITY TO CURE: If Customer claims that FM Electric's Work is defective, incomplete, nonconforming, has caused damage, or otherwise constitutes a breach of the Contract, Customer shall provide FM Electric with written notice describing the claimed condition in reasonable detail.

Except in the event of an immediate threat to life, safety, or property, Customer shall preserve the allegedly defective or disputed condition and provide FM Electric with reasonable access and a reasonable opportunity to inspect, photograph, test, diagnose, and evaluate the condition before Customer, another contractor, or any third party alters, removes, repairs, replaces, conceals, destroys, or otherwise materially changes the condition.

Where FM Electric determines that a condition is covered by FM Electric's contractual obligations or labor warranty, Customer shall provide FM Electric a reasonable opportunity to correct, repair, replace, or otherwise cure the condition before Customer retains another contractor to perform corrective work or seeks reimbursement for such work.

Emergency work reasonably necessary to protect life, safety, or property may be performed without prior inspection or cure by FM Electric; however, Customer shall, where reasonably practicable, promptly notify FM Electric and preserve photographs, replaced components, invoices, reports, and other reasonable documentation of the condition and emergency corrective work.

FM Electric shall not be responsible for the cost of repair, replacement, investigation, diagnosis, alteration, or other corrective work performed by another contractor or third party without first providing FM Electric the notice, access, inspection, and opportunity to cure required by this provision, except where immediate emergency action was reasonably necessary or where otherwise required by applicable law.

The right to inspect and cure does not require FM Electric to repair or assume responsibility for pre-existing conditions, work outside the contracted scope, damage caused by others, Customer modifications, misuse, abuse, lack of maintenance, manufacturer defects, utility conditions, concealed conditions, or any other matter for which FM Electric is not otherwise responsible under the Contract.

FM Electric and Customer agree to make a reasonable good-faith effort to resolve disputes informally before commencing litigation. Either party may request non-binding mediation. If both parties agree to mediate, the parties will cooperate in selecting a mutually acceptable mediator and will share the mediator's fees equally unless otherwise agreed in writing.

Unless otherwise required by applicable law, any legal action arising out of or relating to the Contract, the project, payment for the Work, or the parties' relationship shall be governed by the laws of the State of Nevada and brought in a court of competent jurisdiction in the Nevada county in which the project is located or, where legally permissible, the county in which FM Electric maintains its principal place of business.

Nothing in this provision requires FM Electric to delay or waive collection activity, recordation or enforcement of a mechanic's lien or other statutory payment remedy, preservation of any statutory deadline, recovery of property or materials where legally permitted, or a request for temporary, emergency, or injunctive relief. Nothing in this provision waives or limits any right or remedy that cannot lawfully be waived or limited.

If FM Electric is required to pursue collection or legal action to recover amounts properly due under the Contract, FM Electric shall be entitled to recover its reasonable collection costs, court costs, attorney's fees, and other legally recoverable expenses to the extent permitted by the Contract and applicable law.

The prevailing party in any action or proceeding arising from or relating to the Contract shall be entitled to recover reasonable attorney's fees and costs to the extent permitted by applicable law.

MECHANIC'S LIEN & STATUTORY PAYMENT RIGHTS: Nothing in the Contract constitutes a waiver, release, limitation, or impairment of any mechanic's lien, bond claim, payment claim, collection remedy, or other statutory or contractual right available to FM Electric unless such right is expressly waived or released in the manner required by applicable law.

FM Electric may provide, record, serve, preserve, or enforce any preliminary notice, notice of right to lien, mechanic's lien, bond claim, or other notice or remedy permitted by law. Customer acknowledges that statutory notices, lien waivers, and releases may be provided separately from these Terms & Conditions when required or appropriate.

LIMITATION OF CONSEQUENTIAL DAMAGES: To the fullest extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages arising out of or relating to the Contract or Work, including loss of profits, loss of business, business interruption, loss of rent, loss of use, loss of production, loss of data, spoilage, or similar consequential economic losses, except to the extent such limitation is prohibited by applicable law.

This provision does not waive or limit liability that cannot lawfully be waived or limited and does not relieve FM Electric of any obligation or liability imposed upon it by applicable law.

SEVERABILITY & NO WAIVER: If any provision of the Contract is determined by a court or other authority of competent jurisdiction to be invalid, illegal, void, or unenforceable, that provision shall be enforced to the maximum extent legally permissible or, where appropriate, severed, and the remaining provisions shall continue in full force and effect.

FM Electric's failure or delay in enforcing any provision, payment requirement, contractual right, or remedy on one or more occasions does not constitute a waiver of that provision, right, or remedy and does not prevent its subsequent enforcement. Any waiver by FM Electric must be expressly made in writing by an authorized representative of FM Electric.

ENTIRE AGREEMENT: The Contract documents, including the accepted or signed proposal, project-specific scope of work, payment schedule, plans and specifications where applicable, required notices and disclosures, approved written change orders, and these incorporated Terms & Conditions, constitute the agreement between FM Electric and Customer concerning the contracted Work.

Except for documents expressly incorporated into the Contract, the Contract supersedes prior or contemporaneous discussions, negotiations, estimates, representations, understandings, or agreements concerning the same Work.

No oral representation, statement, promise, or agreement modifies the Contract. Amendments and modifications are governed by the Change Orders & Modifications provision and other applicable requirements of the Contract.

Nothing in this provision excludes, waives, or limits any representation, disclosure, notice, warranty, obligation, or right that applicable law prohibits the parties from excluding, waiving, or limiting.

RESIDENTIAL CONSTRUCTION RECOVERY FUND: Payment may be available from the Residential Recovery Fund if you are damaged financially by a project performed on your residence pursuant to a contract, including construction, remodeling, repair or other improvements, and the damage resulted from certain specified violations of Nevada law by a contractor licensed in this state. To obtain information relating to the Residential Recovery Fund and filing a claim for recovery from the Fund, you may contact the Nevada State Contractors Board.

INCORPORATION OF TERMS & ORDER OF PRECEDENCE: These Terms & Conditions are expressly incorporated into and form a binding part of the Contract between FM Electric and the Customer. The Contract may consist of the accepted or signed proposal, project-specific scope of work, payment schedule, plans or specifications where applicable, required notices and disclosures, approved written change orders, and these Terms & Conditions.

By signing or electronically accepting the Contract or proposal that references these Terms & Conditions, Customer acknowledges that these Terms & Conditions are incorporated into the Contract and agrees to be bound by them.

The complete Terms & Conditions incorporated into the Contract are available at fmelectric.org/terms. The version of the Terms & Conditions in effect on the date the Customer accepts the Contract shall govern that Contract unless the parties subsequently agree otherwise in writing.

If a project-specific provision contained in an accepted or signed proposal, written contract, or subsequently executed written change order directly conflicts with these general Terms & Conditions, the more specific project provision shall control with respect to that conflict. All provisions not directly affected by the conflict shall remain in full force and effect.

Nothing in these Terms & Conditions is intended to waive, limit, or modify any right, notice, disclosure, procedure, or requirement that cannot lawfully be waived or modified under applicable law.
